Terms of Use

Last updated · 1 January 2026

Version History and Document Control

  • Version 1.0 (11 September 2026): Original Meridian Terms of Use Addendum, incorporating the Netbay Group Terms of Use by reference.
  • Version 1.1 (15 September 2026): Corrected “Customer Data” to “End Customer Data” where the narrower contact/deal/notes concept was meant.
  • Version 2.0 (15 September 2026): Converted to a fully standalone document following confirmation that Meridian operates its own dedicated website (meridian-crm.co.za), separate from netbay.co.za. No longer relies on incorporation of the Netbay Group Terms of Use, since a visitor to the Meridian site may never encounter that document — all substantive protections previously incorporated by reference are now restated directly. Added “About This Site” and “Demo and Walkthrough Requests” sections. Added support@meridian-crm.co.za as the operational contact channel. Added clauses covering policy availability, cookies and tracking, website availability, security, account responsibility, suspension, and third-party integrations; narrowed the feedback licence and softened the jurisdiction wording for consumer-law compatibility.

1. Acceptance

1.1. These Terms of Use govern your access to and use of the Meridian website (meridian-crm.co.za) and, together with the Meridian Master Services Agreement where applicable, your use of the Meridian product. This website is owned and operated by Netbay (Pty) Ltd (Registration Number: 2019/505218/07), trading as Meridian (“Meridian”, “we”, “us”, “our”).

1.2. By accessing or using this website, you agree to be bound by these Terms. If you do not agree, please do not use the site. In terms of the Electronic Communications and Transactions Act 25 of 2002, these Terms are binding and enforceable against all persons who access this website.

2. About This Site and the Meridian Product

2.1. This website provides information about the Meridian CRM product, allows you to request a product walkthrough or demo, and, where applicable, provides access to the Meridian application for existing subscribers.

2.2. Nothing on this website constitutes a binding offer to supply the Meridian product on any particular terms. Access to and use of the Meridian CRM application itself, once you become a subscriber, is governed by the Meridian Master Services Agreement and the Meridian Data Processing Agreement entered into separately.

3. Demo and Walkthrough Requests

3.1. Submitting a request for a product walkthrough or demonstration places you under no obligation and creates no contract for the supply of Meridian. We will use the details you provide solely to contact you about scheduling and conducting that walkthrough, as set out in the Meridian Privacy Policy.

4. Use Licence and Acceptable Use

4.1. Permission is granted to temporarily view the materials on this website for personal or business evaluation purposes related to Meridian. This is a licence, not a transfer of title, and you may not modify, copy, publicly display, or commercially exploit the materials, or attempt to decompile or reverse engineer any software on this website.

4.2. You may not use data mining, robots, or similar extraction tools against this website, or use its content to train machine learning or artificial intelligence models, without our express written consent.

4.3. If you are a Meridian subscriber, you may not circumvent seat-based licensing controls — including sharing a single login across multiple concurrent users (Meridian enforces a single active session per seat) or attempting to access functionality restricted to a higher licence tier than the one purchased for that seat.

4.4. This licence terminates automatically if you violate these restrictions, and may be terminated by us at any time.

5. Intellectual Property

5.1. All content on this website — including text, logos, graphics, software code, and the “look and feel” — together with the Meridian application itself, is the property of Netbay (Pty) Ltd or its licensors and is protected by South African and international intellectual property law. “Meridian” and associated branding are trademarks of Netbay (Pty) Ltd.

6. User-Generated Content and Feedback

6.1. If you submit feedback, suggestions, enhancement requests, or similar comments to us about Meridian, you grant us a non-exclusive, royalty-free, perpetual, and irrevocable licence to use, reproduce, adapt, and incorporate that feedback for product development and business improvement purposes, without any obligation to compensate you.

7. No Warranties

7.1. This website and its content, and, save as expressly warranted in a signed Meridian Master Services Agreement, the Meridian product, are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

7.2. Statistics, benchmarks, or illustrative figures shown on this website are drawn from third-party sources or are illustrative only, and are not guarantees of the results you will achieve using Meridian.

8. Limitation of Liability

8.1. To the fullest extent permitted by South African law, our liability arising from your use of, or inability to use, this website is excluded for indirect, incidental, or consequential loss.

8.2. Where you are a signed Meridian subscriber, the liability cap and terms of the Meridian Master Services Agreement govern in place of this Clause 8. For any other visitor to this website, our aggregate liability arising from your use of the website shall not exceed the lesser of any fees you have paid to us for use of the website itself, or R1,000.00 (One Thousand Rand).

8.3. Nothing in this Clause 8 limits any right that cannot lawfully be excluded under the Consumer Protection Act 68 of 2008, to the extent that Act applies to you.

9. Indemnification

9.1. You agree to indemnify and hold Netbay (Pty) Ltd harmless from any demand, loss, liability, claim, or expense (including attorneys' fees) arising from your use of this website or breach of these Terms.

10. Third-Party Links, Services and Integrations

10.1. This website may link to third-party websites or services, or integrate with third-party infrastructure providers used to deliver Meridian. We are not responsible for the content or practices of third-party sites linked from this website, and linking does not imply endorsement.

10.2. Where Meridian integrates with third-party services, platforms, hosting providers, communication tools, payment providers, or customer systems, your use of those services may also be subject to the relevant third party's own terms, privacy notices, service limits, availability, and security practices. We are not responsible for a third party's systems, acts, omissions, outages, or changes, except to the extent expressly stated in a signed Meridian Master Services Agreement.

11. Privacy and POPIA Compliance

11.1. Your use of this website and, where applicable, the Meridian product is governed by the Meridian Privacy Policy, which is incorporated into these Terms by reference. Netbay (Pty) Ltd processes personal information in accordance with the Protection of Personal Information Act 4 of 2013.

11.2. Our Privacy Policy, and where applicable the Meridian Master Services Agreement and Meridian Data Processing Agreement, are made available on request or through the relevant Meridian contracting, onboarding, or support channel. If there is any conflict between these Terms and a signed Meridian Master Services Agreement, the signed agreement will prevail for the relevant subscriber relationship.

12. Cookies and Tracking Technologies

12.1. This website and the Meridian application use cookies, analytics tools, and similar technologies for essential functionality, security, performance measurement, and preference management. Non-essential cookies (such as functional, performance, or targeting cookies) are deployed only with your explicit opt-in consent where required by applicable law. For detailed information on the specific types of cookies used, consent logs, retention periods, and how to manage your preferences, please refer to our standalone Cookie Preference Policy.

13. Website Availability, Security and Access

13.1. We aim to keep this website available and secure, but we do not guarantee uninterrupted, error-free, or always-available access. We may suspend, withdraw, restrict, or change all or part of the website for maintenance, security, operational, legal, or business reasons.

13.2. You must not introduce malicious code, attempt unauthorised access, interfere with the operation of the website, probe or test vulnerabilities without written permission, or use the website in any way that could impair its security, availability, or integrity.

14. Account Responsibility and Suspension

14.1. If you are given access credentials for the Meridian application or any restricted area of this website, you are responsible for keeping those credentials confidential and for all activity carried out under your account, except where caused by our breach of a signed agreement or applicable law.

14.2. We may suspend or restrict access to the website, the Meridian application, or any account if we reasonably believe there has been a breach of these Terms, unauthorised access, misuse, security risk, non-payment under an applicable agreement, or conduct that may cause harm to Meridian, other users, or third parties.

17. Governing Law and Jurisdiction

17.1. These Terms are governed by the laws of the Republic of South Africa.
